ShopZero Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the ShopZero platform, including the merchant application (including app.shopzero.bd), related APIs, documentation, and any proprietary storefront or other software we make available to you under a subscription or trial (collectively, the “Service”). The Service is operated by Arvyo Ltd. (“Arvyo”, “we”, “us”, “our”), a company incorporated in Bangladesh. By registering a merchant account, using the Service, or clicking to accept these Terms where offered, you agree to these Terms on behalf of yourself and any business you represent. If you do not agree, do not use the Service. These Terms apply to ShopZero as a software platform. They do not govern separate custom development, consulting, or other professional services from Arvyo unless those services are expressly covered in a written agreement that references these Terms or replaces them for that engagement.
1. Eligibility and registration
You must be at least 18 years old and have authority to bind the business you register. You will provide accurate, current registration and billing information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of credentials. Notify us promptly of any unauthorized use. You represent that you are legally allowed to conduct the business you operate through the Service in Bangladesh and in any other place where you market, sell, or deliver goods or services. That includes obtaining and keeping in force any licenses, permits, tax registrations (for example VAT or TIN where required), trade license, or other approvals that applicable law requires for your activities, products, or sector. Requirements depend on your entity type, location, and what you sell—we do not provide legal or tax advice, and we do not verify your documents. ShopZero may ask for reasonable evidence of business registration or licensing where needed for compliance, fraud prevention, or payment or logistics partner rules. If you cannot show what we reasonably request, or we reasonably believe you are operating without required authorization, we may suspend or close your account subject to these Terms and applicable law.
2. Description of the Service
ShopZero provides tools to operate e-commerce businesses, including (depending on your plan) merchant administration, order and catalog management, integrations with payments and logistics providers you configure, and access to a proprietary customer-facing storefront or related components we offer. Specific features, limits, and quotas are described on our website, in-product disclosures, or your order summary. We may add, change, or retire features where reasonably necessary for security, compliance, or improvement, with notice when practicable for material changes.
3. Subscriptions, trials, fees, and taxes
Access to the Service is generally offered on a subscription basis. You agree to pay all fees applicable to your plan (including any one-time setup fees we publish), plus applicable taxes. If your plan includes a free trial, you are not charged recurring subscription fees during the active trial; one-time fees (such as setup), if any, are as shown when you enroll. After the trial, the first paid subscription period is charged in advance at the start of that period. Each following billing period is charged at the end of the period (postpaid) for the service period just completed. Your recurring billing cycle may be monthly or yearly according to the plan you select; billing cycles, payment methods, and renewal terms are presented at signup or in your dashboard. We may suspend or restrict the Service for overdue amounts after notice where appropriate. Except where required by law or expressly stated on our pricing page, fees are non-refundable once the applicable period has started.
4. Proprietary software and license grant
The Service, including the ShopZero engine, admin, APIs, and any storefront code or artifacts we provide, is proprietary to Arvyo and its licensors. It is not open source and is not licensed under a public license (such as MIT or GPL). Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license during your subscription to: (a) access and use the Service to operate your own online stores connected to your ShopZero account; and (b) where we expressly provide storefront source or deployment materials for your plan, use and modify those materials solely to host and operate storefronts for your own ShopZero-connected stores. You may not: sell, sublicense, rent, publicly distribute, or share the Service or storefront materials with third parties except your own personnel and contractors bound by confidentiality; use the Service to build or offer a competing platform or storefront product for others; remove or obscure proprietary notices; or reverse engineer, decompile, or attempt to extract source code except to the limited extent mandatory applicable law allows.
5. Your content and data
You retain ownership of your business data (such as product listings, images you upload, and customer data you lawfully collect). You grant Arvyo a worldwide license to host, process, back up, and display such content as needed to provide, secure, and improve the Service and as described in our Privacy & Data Policy (shopzero.bd/privacy). Data stored on behalf of your stores—including orders, catalog and inventory, merchant account details, configuration, integrations you enable, and related operational records—may be processed on Arvyo’s systems as part of operating ShopZero. You acknowledge that Arvyo reserves the right to use merchant store data and related operational information—including in aggregated, de-identified, or anonymized form where appropriate—to operate and secure the Service (including reliability and fraud prevention), to produce internal and product reporting and analytics, and to develop and improve systems and features. This does not authorize selling personal data of your end customers to unrelated third parties for those parties’ independent marketing. Processing of personal data remains subject to our Privacy & Data Policy and applicable law. You represent that you have all rights necessary to submit your content and that your use of the Service complies with applicable law (including consumer protection and data protection rules in your markets).
6. Acceptable use
You will not use the Service for unlawful, fraudulent, or deceptive activity; to infringe others’ intellectual property or privacy; to distribute malware; to send spam in violation of law; to interfere with or overload the Service; to access non-public areas without authorization; or to circumvent technical limits or billing. We may investigate and suspend or terminate accounts for violations.
7. Third-party services
You may connect payment gateways, delivery couriers, messaging providers, analytics, and other third-party services. Your relationship with those providers is between you and them. Their terms and privacy practices apply. Arvyo is not responsible for third-party outages, fees, or conduct, except where mandatory law provides otherwise.
8. Availability and changes
We strive for reliable operation but do not guarantee uninterrupted or error-free Service. Maintenance, upgrades, or events beyond our reasonable control may cause downtime. We may modify these Terms or the Service; for material changes to Terms we will provide reasonable notice (for example by email, dashboard notice, or posting on shopzero.bd). Continued use after the effective date may constitute acceptance unless we require explicit re-acceptance.
9. Disclaimers
To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, or non-infringement, and without any warranty as to results, revenue, or uninterrupted operation. Merchant products and your business: Arvyo is a software provider. We do not manufacture, source, inspect, take title to, or sell the goods or services you list or fulfil through the Service, and we do not warrant their safety, quality, fitness, or legality. You are solely responsible for your products and services—including compliance with product safety, consumer, import/export, licensing, labelling, tax, and recall obligations—and for any loss, injury, death, or damage suffered by any person (including your end customers) or property arising from or relating to your products, services, packaging, marketing, or business conduct. To the fullest extent permitted by law, Arvyo and its affiliates disclaim liability for such matters; nothing in these Terms makes us your agent, partner, or the seller of your inventory. Unlawful or illicit use: You must use the Service only for lawful business. If you use the Service to conduct illegal or illicit activity, to sell prohibited or unlawfully obtained goods, or in serious breach of these Terms, you bear the risk and consequences. To the fullest extent permitted by law, Arvyo is not liable for losses or damages arising from your unlawful conduct or misuse of the platform, and we may cooperate with authorities where required.
10. Limitation of liability
To the fullest extent permitted by applicable law, Arvyo and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the total fees you paid to Arvyo for the Service in the twelve (12) months preceding the event giving rise to the claim (or, if shorter, the period you have been a paying subscriber). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.
11. Indemnity
You will defend, indemnify, and hold harmless Arvyo from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your products or services sold through the Service, your violation of these Terms, or your violation of third-party rights or law, except to the extent caused by Arvyo’s gross negligence or willful misconduct.
12. Term, suspension, and termination
These Terms remain in effect while you use the Service. You may stop using the Service and cancel your subscription according to the cancellation flow in your account. We may suspend or terminate access for breach of these Terms, non-payment, legal risk, or extended inactivity as permitted by law. Upon termination, your right to use the Service ceases; provisions that by nature should survive (including IP, disclaimers, limitation of liability, indemnity, and governing law) will survive. We may delete or retain data according to our retention practices and Privacy & Data Policy.
13. Governing law and disputes
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. You agree that the courts of Dhaka, Bangladesh shall have exclusive jurisdiction over disputes arising from these Terms or the Service, subject to any non-waivable rights you may have under mandatory consumer law in your jurisdiction.
14. General
These Terms constitute the entire agreement between you and Arvyo regarding ShopZero as a platform and supersede prior inconsistent understandings on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver.
